These terms apply to the use of the orphid.ro website. By using the website, you accept the terms below. If you do not agree with them, please do not use the website.

This is a translation. If it differs from the Romanian version, the Romanian version prevails.

1. Who we are

2. What the website offers

The website presents Orphid's software development, website, CRM, content and SEO services. Through the website you can send us a message, describe a project in the configurator or book a call.

No contracts are concluded and no payments are made on the website. Submitting a form creates no contractual obligation, either for you or for us.

3. Who our services are for

Orphid's services are aimed exclusively at professionals within the meaning of Article 3 of the Romanian Civil Code: companies, sole traders and other organisations. We do not enter into contracts with consumers, so the provisions of Romanian Government Emergency Ordinance no. 34/2014 on consumer rights do not apply.

4. Prices and offers

Prices shown on the website are indicative and final, as we are not registered for VAT. Estimates from the configurator or from initial conversations are not a binding offer.

For each project, the scope, price, deadlines, payment stages and delivery terms are set out in a written contract signed by both parties. If the information on the website differs from the contract, the contract prevails.

5. Clients in other countries

We work with companies in Romania, in other European Union countries and beyond, for example in the United Kingdom, Switzerland or the United States.

  • Prices on the website are in euros.
  • Contracts can be concluded in Romanian or in English.
  • The invoicing currency and the tax treatment of services provided outside Romania are set out in the contract, in accordance with applicable tax law.
  • We reserve the right not to work with persons or entities subject to international sanctions applicable in the European Union.

6. Using the website

When using the website, you agree not to:

  • submit forms automatically, in bulk or for spam;
  • attempt to gain unauthorised access to the website's server, code or data, or disrupt its operation;
  • introduce malicious software or code;
  • submit false data or another person's data without the right to do so.

We may restrict access to the website or its forms in case of abuse.

7. Intellectual property

The texts, design, illustrations, the Orphid name and logo, and the website's code belong to us or are used with their owners' permission, and are protected by Romanian Law no. 8/1996 on copyright and related rights and by trademark law.

You may quote short excerpts, citing the source. Any other reproduction, distribution or modification requires our written consent.

Screenshots and descriptions of client projects are published with our clients' consent. Client names and trademarks belong to their respective owners.

Rights to the code and materials delivered to clients are set out in each project's contract.

8. Information on the website

We do our best to keep the information on the website accurate and up to date, but errors or omissions may occur. The information is general in nature and does not constitute advice for any specific situation.

10. Limitation of liability

The website is provided “as is”. It may be temporarily unavailable for technical or maintenance reasons. To the extent permitted by law, we are not liable for indirect damage resulting from the use of the website or from the inability to use it.

This limitation does not apply to damage caused intentionally or through gross negligence, in accordance with Article 1355 of the Romanian Civil Code.

11. Personal data

How we process the personal data sent through the website is described in the Privacy policy, linked in the footer of every page.

12. Changes to these terms

We may change these terms when the website, our services or the law change. The version in force is the one published on this page, and the date of the last update appears at its top.

13. Governing law and disputes

These terms are governed by Romanian law, whichever country you access the website from. We first try to settle any disagreement amicably. If that is not possible, the dispute is settled by the competent courts at Orphid's registered office.

For projects, the governing law and competent courts are those set out in the contract. Unless the contract provides otherwise, Romanian law applies and the courts at Orphid's registered office have jurisdiction.
